Welcome to YISSIY. These Terms and Conditions constitute a professional framework governing the access to our digital platforms (www.yissiy.com) and the procurement of customized laptop hardware, barebones computing systems, and integrated electronic peripherals from Guangzhou Yixi Technology Co., Ltd.
1.0 CORPORATE POSITIONING & BUSINESS NATURE
1.1 B2B Operations: YISSIY operates exclusively as a professional Business-to-Business (B2B) original equipment manufacturer (OEM) and original design manufacturer (ODM). Our services, technical documentations, and wholesale fulfillment pipelines are engineered strictly for corporate buyers, international distributors, brand owners, and bulk importers.
1.2 Buyer Authority: By establishing a commercial inquiry or engaging in a procurement contract with YISSIY, the Buyer affirms that they are acting as a legally registered business entity with full authority to conduct international trade.
2.0 INTELLECTUAL PROPERTY RIGHTS (IPR)
2.1 YISSIY Proprietary Assets: All technical descriptions, engineering whitepapers, digital imagery, proprietary BIOS configurations, and structural design architecture displayed on our platforms remain the exclusive intellectual property of Guangzhou Yixi Technology Co., Ltd. Unauthorized replication for commercial purposes is strictly prohibited.
2.2 Client Design & Blueprint Protection: YISSIY is committed to preserving the intellectual property of our global partners. For custom ODM laptop schemes and layout modifications, all Client-submitted CAD files, PCBA specifications, and industrial design blueprints are treated with absolute confidentiality. YISSIY guarantees that these designs will not be deployed for third-party commercial production.
3.0 SPECIFICATIONS, SAMPLE APPROVAL & MASS PRODUCTION
3.1 Technical Specification Sign-off: Mass production or customized assembly will only proceed based on a definitive “Technical Specification Sheet” mutually verified and signed by authorized engineering representatives from both YISSIY and the Buyer.
3.2 Golden Sample Verification: For deep customization orders, YISSIY will produce a physical prototype (the “Golden Sample”). Mass manufacturing protocols will remain suspended until the Buyer provides formal written approval of this sample regarding its hardware stability, CMF (Color, Material, Finish), and thermal management benchmarks.
3.3 Minimum Order Quantities (MOQ): Due to structural calibration and component sourcing constraints, minimum order thresholds apply to all bespoke manufacturing runs. Specific MOQ criteria will be determined dynamically based on the complexity of the laptop or peripherals scheme and detailed clearly in the formal Proforma Invoice (PI).
4.0 COMMERCIAL QUOTATIONS & GLOBAL LOGISTICS
4.1 Quotation Stability: Given the market volatility of upstream semiconductors, display panels, and high-conductivity cooling modules, all price quotations issued via our digital platforms or Sales team are typically binding for a period of 15 to 30 days from the date of issuance, unless explicitly extended in writing.
4.2 Shipping & International Incoterms: All global bulk shipments are cleared from our Guangzhou facilities and executed in accordance with international Incoterms rules (such as FOB Guangzhou, CIF, or DAP), as designated in the primary trade agreement.
4.3 Custom Clearance & Force Majeure: While YISSIY ensures rigorous export compliance at Chinese borders, we are not legally accountable for distribution delays resulting from destination import hold-ups, international port congestions, or structural disruptions defined under global Force Majeure principles.
5.0 QUALITY ASSURANCE & RMA PROTOCOL
5.1 Hardware Warranty Standards: YISSIY provides a standard 12-month hardware integrity warranty on all complete laptop builds and barebones PC setups, effective from the date of bill of lading, covering systemic manufacturing defects.
5.2 Return Merchandise Authorization (RMA) Procedure: In the event of an isolated hardware component anomaly, the Buyer must compile a technical diagnostics report with clear video or data logs. Upon engineering validation, YISSIY will expedite the delivery of replacement hardware components or offer technical repair mitigations in compliance with the dedicated project service contract.
6.0 LIMITATION OF LIABILITY
6.1 Specialized Deployment: YISSIY computing solutions are engineered for enterprise productivity, creative studio processing, consumer environments, and general business operations. YISSIY accepts no liability for operational failures, data loss, or secondary financial consequences if our standard hardware is deployed in uncertified high-risk, military, or life-critical environments without explicit, written engineering endorsement from our board.
7.0 GOVERNING LAW & JURISDICTION
7.1 Conflict Resolution: Any commercial disputes or performance discrepancies arising from international transactions shall first be pursued through amicable corporate consultations.
7.2 Legal Venue: Should mutual mediation fail, all unresolved contentions shall be submitted exclusively to the competent arbitration courts in Guangzhou, China, and adjudicated strictly under the substantive governing laws of the People’s Republic of China.
